1. Services Provided
Shypie, a staffing company registered under the laws of the State of Texas, provides temporary staffing services ("Services") to ("Client"). Client agrees to engage the Services of Company for the purpose of sourcing temporary workers as needed.
2. Worker Status
Client acknowledges that all workers provided by Company are independent contractors and are not employees of Client. Client agrees not to misclassify Company's workers as employees for any purpose.
3. Fee for Direct Hire
Representations and Warranties: Shypie makes no representations or warranties regarding the qualifications, skills, or performance of the professionals engaged through the Services. Clients are solely responsible for evaluating and selecting professionals that meet their specific requirements
4. Payment Terms
Client agrees to pay Company the Direct Hire Fee within [number] days of hiring any worker provided by Company. Payment shall be made by [method of payment].
5. Term and Termination
You agree not to reproduce, modify, distribute, or otherwise exploit anyportion of the Services without the express written consent of Shypie.

8. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
9. Acceptance of Terms
By engaging the Services of Company, Client acknowledges and agrees to abide by the terms outlined in this document.
